By accessing or using the website (relantern.com), software applications, cloud systems, and advisory services of Relantern ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing our website and platform systems.

2. Description of Services

Relantern provides digital and physical solutions for Enterprise Asset Management (EAM), computerized maintenance management (CMMS), reliability engineering consultancies, facility risk assessments, and related software platforms (including IREAMS, our Integrated Reliability & Enterprise Asset Management System). Our services are intended exclusively for professional, industrial, and business-to-business (B2B) use.

3. Human-In-The-Loop (HITL) AI Policy & Advisory Scope

Our platform incorporates advanced artificial intelligence and machine learning models to help draft Root Cause Analyses (RCA), suggest potential spare parts, calculate asset health trends, and advise on optimal maintenance intervals.

IMPORTANT: HUMAN-IN-THE-LOOP (HITL) REQUIREMENT
All AI-generated insights, drafts, recommendations, and calculations are provided for **advisory and educational purposes only**. The AI is an assistant, not an authorized controller. The AI has **no authority** to automate or execute critical business decisions. Under no circumstances may our systems be utilized to authorize an asset shutdown, approve a maintenance change on a safety-critical system, or issue a spare part purchase order without **direct, explicit human validation and digital sign-off** by a qualified engineer or operations manager. The user assumes 100% responsibility for validating and verifying any AI output prior to physical implementation.

4. User Accounts & Permissions Governance

Access to certain features of our software requires active user accounts. You agree to provide accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your credentials.

Our platform enforces strict Role-Based Access Control (RBAC) and per-site scope parameters. You agree not to attempt to bypass, circumvent, or exploit the authorization parameters set by your administrator, nor attempt to access financial, asset, or cost data outside your designated site scope.

5. Acceptable Use and Restrictions

You agree to use our systems only for lawful purposes related to industrial asset and maintenance operations. You are strictly prohibited from:

• Reverse engineering, decompiling, or extracting source code from our software systems.
• Using our tools to transmit spam, malware, or execute automated scraping scripts.
• Providing false information during diagnostic intake forms.
• Interfering with, disrupting, or compromising the security parameters of our cloud servers or database registers.

6. Intellectual Property

The website, software codebase, layout design, icons, logos, trademarks, and educational documentation (such as checking templates, ISO 55000 maturity checklists, and analytics frameworks) are the exclusive intellectual property of Relantern. You are granted a limited, non-transferable, revocable license to access our materials for your internal business evaluations. Any commercial redistribution is strictly prohibited without our prior written consent.

7. Limitation of Liability

IN NO EVENT SHALL RELANTERN, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PRODUCTION DOWNTIME, LOSS OF PROFITS, DATA CORRUPTION, ASSET DAMAGE, OR WORKPLACE INCIDENTS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE OUR SYSTEMS OR RELIANCE ON ANY AI-GENERATED ADVISORY INSIGHTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Indemnification

You agree to indemnify, defend, and hold harmless Relantern and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your violation of these Terms, misuse of our platform, or implementing automated actions (such as shutdowns or purchases) based on AI advice without human validation.

9. Governing Law

These Terms and your use of our platforms shall be governed by and construed in accordance with the laws of the jurisdiction in which Relantern is registered, without giving effect to any principles of conflicts of law. Any legal actions or proceedings shall be brought exclusively in the courts of that jurisdiction.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Any updates will be posted here with an updated revision date. By continuing to access our site or systems after changes are published, you agree to be bound by the updated Terms.
